Annual report deadlines

The first annual report is due in the calendar year after the year you registered. LLCs and PLLCs: November 15 ($50). Domestic corporations: August 1 ($25). Foreign corporations: May 15. Farming or ranching and Authorized Livestock Farm LLCs and corporations: April 15. Missing the report moves the entity to Not Good Standing, and continued failure leads to dissolution or revocation.

Official fees vs. third-party mailers

The North Dakota Secretary of State has warned about urgent-looking letters from third parties charging more than $90 to file an annual report. The state fee is $50 for an LLC and $25 for a corporation. We are a private filing service, not the Secretary of State. Our fee is shown separately from the state fee, and you can file yourself on FirstStop without paying us anything.

Registered agent: $199/year

Every LLC and corporation must keep a registered agent with a North Dakota address. Using our commercial registered agent keeps your home address off the filing.

North Dakota business filings at a glance

North Dakota files every LLC, corporation and trade name through one online system, the Secretary of State's FirstStop portal. A business LLC costs $135 to register and $50 a year to keep active. A business corporation costs $100 to form and $25 a year. The annual report never asks for financial statements; it confirms your addresses, your business activity and the people who manage the company.

The due dates are what trip owners up. LLCs and PLLCs report by November 15. Domestic corporations report by August 1 and foreign corporations by May 15. Farm and ranch entities report by April 15. The first report is due in the calendar year after the year you registered, so a company formed in December gets almost a full year before its first deadline, while one formed in January gets nearly two.

What comes after the Secretary of State

The Secretary of State's filing creates the company; it does not register it for taxes. If you sell taxable goods or services, the Office of State Tax Commissioner asks you to apply for a sales and use tax permit through ND TAP about 30 days before you open. Permits are not transferable, so buying an existing business means applying for a new one.

The state rate is 5 percent on most retail sales, and most cities and several counties add their own local tax on top. Our county pages show the 2026 combined rate for each major North Dakota city, with a worked example and the lodging and restaurant taxes that apply there.
